Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", or "user") and EQUILEV LIMITED ("Waypoint", "we", "us", or "our") governing your access to and use of the Waypoint mobile application (the "App"), our website at waypointmap.co (the "Site"), and any related features, tools, content, and services we provide (together, the "Service").

Please read these Terms carefully. By creating an account, downloading or installing the App, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Service.

These Terms contain provisions that limit our liability, disclaim warranties, and require you to indemnify us. They also include important terms required by Apple Inc. for apps distributed through the App Store (see Section 19).

1. Who we are

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your country of residence, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate.

You further represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a government embargo or designated as a "terrorist supporting" country, and that you are not on any government list of prohibited or restricted parties.

3. Your account

The Service requires you to create an account, which you may do using an email address or a supported social login (such as Apple or Google). You agree to:

• provide accurate and complete information and keep it up to date;
• keep your login credentials confidential and secure;
• be responsible for all activity that occurs under your account; and
• notify us promptly at hello@waypointmap.co of any unauthorized use or security breach.

We are not liable for any loss or damage arising from your failure to safeguard your account. We may suspend, restrict, or terminate your account in accordance with these Terms.

4. The Service

Waypoint is a personal mapping tool that helps you save, organize, and find places. The Service uses automated and artificial-intelligence systems to extract place information from content you provide — including text you type, links you share (such as Instagram, TikTok, YouTube, Google Maps, or other web URLs), and images or screenshots you upload — and to pin, categorize, and display those places on a map.

The Service, including its features, content, availability, and supported platforms, may change over time. We currently offer the Service on iOS, with additional platforms planned. Some features may be offered free of charge and others as part of a paid plan (see Section 10).

5. Licence to use the App

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on a device that you own or control, and to access the Service, solely for your personal, non-commercial use. Where the App is obtained through the Apple App Store, this licence is further limited by the Usage Rules set out in the Apple Media Services Terms and Conditions.

You may not, and may not permit others to:

• copy, modify, adapt, translate, or create derivative works of the Service;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent this restriction is prohibited by applicable law;
• rent, lease, lend, sell, sublicense, distribute, or otherwise commercially exploit the Service;
• remove, alter, or obscure any proprietary notices;
• use any robot, scraper, or automated means to access the Service, or circumvent any rate limits, access controls, or security measures; or
• use the Service to build a competing product or service.

6. AI features, accuracy, and no reliance

The Service relies on artificial intelligence, third-party map and place data, and automated processing to identify and place pins. These results are provided for convenience only, may be incomplete, inaccurate, outdated, or wrong, and are not guaranteed. Place names, addresses, coordinates, categories, opening status, and other details may not reflect reality.

You are solely responsible for verifying any place, route, address, or other information before relying on it. The Service is not a navigation, emergency, or safety system and must not be used for any purpose where inaccurate information could lead to injury, loss, or damage (for example, emergency response, navigation while operating a vehicle, or real-time turn-by-turn directions). To the maximum extent permitted by law, we disclaim all liability arising from your reliance on any output of the Service.

7. Your content

"Your Content" means any data, text, links, place information, names, notes, tags, lists, images, screenshots, or other materials that you submit to, create in, or upload through the Service.

You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, process, adapt, transmit, and display Your Content solely as necessary to operate, provide, secure, improve, and develop the Service, and to comply with the law. This includes transmitting content you submit to the third-party providers described in our Privacy Policy (such as for AI place extraction). This licence ends when Your Content is deleted from our active systems, except for content retained in backups, logs, or as required by law, and except for any anonymized or aggregated data that no longer identifies you.

You represent and warrant that you have all rights necessary to submit Your Content and to grant the licence above, and that Your Content, and our use of it as permitted here, does not and will not infringe or violate the rights of any third party or any applicable law.

8. Acceptable use and prohibited content

You agree not to use the Service to upload, share, store, or transmit any content, or to engage in any conduct, that:

• is unlawful, infringing, defamatory, harassing, abusive, threatening, hateful, obscene, or otherwise objectionable;
• infringes or misappropriates any intellectual property, privacy, publicity, or other right of any person;
• contains malware or is designed to disrupt, damage, or gain unauthorized access to any system or data;
• violates the terms, policies, or rights of any third-party platform or service from which you obtain content (including Instagram, TikTok, YouTube, Google, or any website), or that you are not authorized to copy, share, or process;
• harvests or collects information about others without consent, or impersonates any person or entity; or
• interferes with, overburdens, or attempts to gain unauthorized access to the Service or its infrastructure.

You are solely responsible for the content you submit and for ensuring you have the right to submit it. We have zero tolerance for objectionable content and abusive behavior.

9. Reporting objectionable content

If you encounter content or behavior in the Service that you believe is objectionable, infringing, or in violation of these Terms, please report it to hello@waypointmap.co. We aim to review reports and take appropriate action — which may include removing content and ejecting or blocking the responsible user — within a reasonable time. We may, but are not obligated to, monitor, review, or moderate content, and we may remove or disable access to any content or account at our discretion, without notice and without liability.

10. Subscriptions, payments, and billing

The Service is currently free for the features described as such. We may offer optional paid plans or features (for example, a "Pro" plan). If you purchase a subscription or other paid feature through the Apple App Store (or another app store or payment processor), the following applies:

• payment is charged to your App Store / store account at confirmation of purchase;
• auto-renewable subscriptions renew automatically for the same period and price unless you cancel at least 24 hours before the end of the current period;
• your account is charged for renewal within 24 hours prior to the end of the current period;
• you can manage and cancel subscriptions in your store account settings; deleting the App does not cancel a subscription;
• prices, plan features, and free trials may change; any free trial automatically converts to a paid subscription unless cancelled before it ends; and
• except where required by law or by the applicable store's policies, payments are non-refundable and we do not provide refunds or credits for partial periods.

All purchases made through a third-party app store are also governed by that store's terms, and refunds for such purchases are handled in accordance with that store's policies.

11. Third-party services and content

The Service integrates with and depends on third-party services, platforms, data, and content (including those listed in our Privacy Policy, such as Supabase, Google, Mapbox, OpenStreetMap/Nominatim, and Apify, as well as the platforms from which you share content). We do not control and are not responsible for third-party services or content, their availability, accuracy, or their terms and policies. Your use of third-party services is at your own risk and may be governed by separate terms. We may modify, suspend, or discontinue any integration at any time without liability.

12. Intellectual property

The Service, including the App, the Site, and all software, design, text, graphics, logos, marks, and other materials (excluding Your Content), is owned by us or our licensors and is protected by intellectual-property laws. Except for the limited licence granted in Section 5, these Terms do not grant you any right, title, or interest in the Service. "Waypoint" and our logos are our trademarks and may not be used without our prior written permission.

13. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and exploit that feedback for any purpose without restriction, attribution, or compensation to you.

14. Changes to and availability of the Service

We are continuously developing the Service. We may, at any time and without liability to you, add, modify, suspend, or discontinue all or any part of the Service, features, or content; impose limits on use; or cease offering the Service in any jurisdiction. We do not guarantee that the Service will be available, uninterrupted, secure, or error-free, or that data will never be lost. You are responsible for maintaining your own copies of any content that is important to you.

15. Termination

You may stop using the Service and delete your account at any time from within the App. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms, with or without notice and without liability. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including Sections 6, 7, 12, 13, and 16 through 22 — will survive.

16. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ACCURATE OR RELIABLE, OR BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, in which case such warranties are limited to the minimum extent permitted by law.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) FIFTY EUROS (€50).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless EQUILEV LIMITED and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your Content; (b) your use or misuse of the Service; (c) your violation of these Terms or any applicable law; or (d) your violation of any rights of a third party, including any third-party platform whose content or terms you breach.

19. Apple App Store — additional terms

This Section applies where you obtain the App through the Apple App Store, and supplements the rest of these Terms. You acknowledge and agree that:

• these Terms are concluded between you and EQUILEV LIMITED only, and not with Apple Inc. ("Apple"); we, not Apple, are solely responsible for the App and its content;
• the licence granted in these Terms is a non-transferable licence to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions;
• Apple has no obligation whatsoever to provide any maintenance or support services for the App;
• to the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund any purchase price paid by you for the App (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are our sole responsibility;
• we, not Apple, are responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation;
• in the event of any third-party claim that the App or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of any such claim;
• you represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties; and
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

You must also comply with all applicable third-party terms of agreement when using the App.

20. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by the laws of Gibraltar, without regard to its conflict-of-laws rules. Subject to any non-waivable rights you may have as a consumer under the laws of your country of residence, you and we agree to submit to the exclusive jurisdiction of the courts of Gibraltar to resolve any dispute. Nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of the country where you live.

21. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, notify you through the App, the Site, or email. Changes are effective when posted. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

22. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms you agree to, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay in performance caused by events beyond our reasonable control. Headings are for convenience only.
